1. Definitions

In this document, the following terms carry specific meaning:

"User," "you," "your" refers to any individual or entity accessing our website or engaging our services.

"Services" refers to the AI integration consulting, workshops, process optimization, and strategy engagements offered by Mekong Sync.

"Agreement" refers to these Terms & Conditions along with any engagement-specific contracts signed between the parties.

2. Acceptance of Terms

By accessing or using our website, or by engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, please discontinue use of the website and do not proceed with any service engagement.

You confirm that you are at least 18 years of age and have the legal authority to enter into binding agreements. If you are acting on behalf of a company or organization, you represent that you are authorized to accept these terms on its behalf.

3. Description of Services

Mekong Sync provides AI integration consulting services for businesses in Southeast Asia and beyond. Our core service offerings include:

AI Use Case Discovery Workshops: Structured three-day sessions helping organizations identify and evaluate potential AI applications within their operations.

AI-Powered Process Optimization: Seven-week engagements focused on implementing AI tools to improve specific business workflows, including staff training and documentation.

Enterprise AI Strategy & Governance Framework: Fourteen-week strategic programs for mid-to-large organizations developing comprehensive AI adoption roadmaps and governance structures.

Service availability may vary depending on current capacity and project scope. We reserve the right to modify service offerings at any time, with changes communicated to affected clients.

4. Engagement and Contracts

Specific service engagements are governed by separate engagement agreements or statements of work signed between Mekong Sync and the client. Those documents detail the scope, timeline, deliverables, and fees applicable to each project.

In the event of a conflict between these Terms & Conditions and a specific engagement agreement, the terms of the engagement agreement will take precedence for matters related to that engagement.

5. User Responsibilities

When using our website or engaging our services, you agree to:

Provide accurate information: All data submitted through our website forms or during engagements should be truthful and current.

Use the website lawfully: You may not use our website for any purpose that violates applicable laws or regulations, nor attempt to gain unauthorized access to any part of the site or its systems.

Respect intellectual property: All materials, documents, and deliverables provided by Mekong Sync are subject to the intellectual property provisions described in Section 7.

Cooperate during engagements: Timely provision of information, access, and feedback is essential to the successful delivery of our services.

6. Prohibited Activities

You agree not to engage in any of the following activities:

Attempting to interfere with the operation or security of our website; scraping, copying, or redistributing content from our website without written permission; impersonating another person or entity in communications with us; using our deliverables or materials to misrepresent your organization's capabilities to third parties; or sharing confidential engagement materials with parties not covered by the relevant engagement agreement.

7. Intellectual Property

Our content: All text, graphics, design elements, and code on our website are owned by or licensed to Mekong Sync and are protected under Thai and international intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our written consent.

Engagement deliverables: Unless otherwise specified in an engagement agreement, Mekong Sync retains ownership of proprietary frameworks, methodologies, and templates used in delivering services. Clients receive a non-exclusive, non-transferable license to use the deliverables produced during their engagement for internal business purposes.

Client data: All data and materials provided by clients remain the property of the client. We use such materials only for the purpose of delivering the agreed services.

8. Payment Terms

All fees for our services are quoted in Thai Baht (฿ THB) unless otherwise agreed in writing. Payment terms, including deposit requirements, milestone payments, and final settlement, are detailed in each engagement agreement.

Invoicing: Invoices are issued according to the schedule outlined in the engagement agreement. Payment is expected within 30 days of the invoice date unless otherwise specified.

Late payment: Overdue amounts may incur a late fee of 1.5% per month. Mekong Sync reserves the right to pause service delivery if payments remain outstanding beyond 14 days past due.

Refund policy: Refund eligibility depends on the stage of the engagement. For workshops, cancellations made at least 14 days before the scheduled start date are eligible for a full refund. Cancellations within 14 days may be subject to a cancellation fee of up to 30% of the engagement cost. For ongoing engagements, refunds are prorated based on work completed at the time of cancellation.

9. Confidentiality

Both parties agree to treat confidential information received during the course of an engagement with reasonable care. Confidential information includes business data, internal processes, strategic plans, technical details, and any materials marked as confidential.

Confidentiality obligations survive the termination of an engagement for a period of two years, unless the information becomes publicly available through no fault of the receiving party.

10. Disclaimers

Our website and services are provided on an "as is" and "as available" basis. While we strive to deliver high-quality consulting services, we do not make any specific promises about the outcomes of our work.

The information on our website is for general informational purposes and does not constitute professional advice tailored to your particular circumstances. We encourage you to seek independent professional advice where appropriate.

11. Limitation of Liability

To the maximum extent permitted by Thai law, Mekong Sync's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

We shall not be liable for indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Nothing in these terms excludes or limits liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Mekong Sync, its directors, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms & Conditions, misuse of our services or deliverables, or violation of any applicable law or third-party rights.

13. Termination

By you: You may discontinue use of our website at any time. Service engagement termination is subject to the terms of the relevant engagement agreement.

By us: We may suspend or terminate access to our website or services if you breach these terms, fail to make required payments, or engage in conduct that we reasonably determine to be harmful to our business or other clients.

Effect of termination: Upon termination of any engagement, each party shall return or destroy confidential materials belonging to the other party. Sections relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

14. Force Majeure

Neither party shall be liable for delays or failure to perform obligations if such delay or failure results from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, civil unrest, or widespread infrastructure failures. The affected party shall notify the other party promptly and make reasonable efforts to resume performance.

15. Dispute Resolution

Governing law: These Terms & Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand.

Informal resolution: In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith discussion within 30 days of written notice.

Mediation: If informal resolution is unsuccessful, the parties may agree to submit the dispute to mediation administered by the Thailand Arbitration Center (THAC).

Jurisdiction: If mediation does not resolve the dispute, it shall be submitted to the exclusive jurisdiction of the courts of Bangkok, Thailand.

16. General Provisions

Entire agreement: These Terms & Conditions, together with any engagement-specific agreements and our Privacy Policy, constitute the entire agreement between you and Mekong Sync.

Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Failure to enforce any right or provision of these terms does not constitute a waiver of that right or provision.

Assignment: You may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity.

Notices: Notices to Mekong Sync should be sent to [email protected] or by post to our registered address. We may send notices to you at the email address you have provided.

17. Changes to These Terms

We may update these Terms & Conditions from time to time. Changes will be posted on this page with an updated "Last Updated" date. For clients with active engagements, material changes will be communicated directly. Continued use of our website after changes are posted constitutes acceptance of the revised terms.
